1. Definitions

• "Services" refers to the operational advisory offerings described on our website: Budgeting Setup Session, Financial Operations Review, and Finance Operations Advisory.
• "Engagement" refers to a specific contracted service arrangement between Riverlume and the Client.
• "Deliverables" refers to written outputs produced as part of an Engagement (templates, process maps, session notes).
• "Non-regulated advisory" refers to operational guidance that does not constitute licensed financial, investment, legal or tax advice.

2. Acceptance of Terms

By submitting an enquiry form, confirming an engagement by email, or making payment for our services, you agree to be bound by this Agreement. You confirm that you are at least 18 years old and have the legal authority to enter into this Agreement on behalf of yourself or the business you represent.

3. Service Description

Riverlume provides operational advisory services focused on budgeting structure, cash routine planning, and internal financial process improvement. All services are non-regulated. We do not provide:

• Licensed financial advice or investment recommendations
• Tax advisory or filing services
• Legal advice of any kind
• Accounting or audit services

Services are delivered primarily in Bangkok, Thailand, in English, by video or in person as agreed. Remote engagements with clients outside Thailand may be arranged at our discretion.

4. Client Responsibilities

• Provide accurate information about your business processes and figures relevant to the engagement.
• Attend scheduled sessions or provide at least 48 hours' notice to reschedule.
• Use Deliverables for your internal business purposes only — not for resale or redistribution.
• Not misrepresent our services as licensed financial, legal, or accounting advice to third parties.

5. Intellectual Property

All templates, frameworks, and written materials we develop are the intellectual property of Riverlume unless otherwise agreed in writing. Upon full payment, we grant you a non-exclusive, non-transferable licence to use the Deliverables within your business. You may not:

• Sell or sublicence the Deliverables to third parties
• Present them as your own original work to clients or partners
• Remove any attributions or branding from templates where present

6. Payment Terms

Fees are stated in Thai Baht (THB) and are exclusive of VAT (7%) unless otherwise noted in our invoice. Payment is due as follows:

• Budgeting Setup Session (฿3,800): Full payment prior to the session date.
• Financial Operations Review (฿19,500): 50% on confirmation, 50% on delivery of Deliverables.
• Finance Operations Advisory (฿33,000/month): Monthly in advance, billed at the start of each calendar month.

We accept bank transfer to our designated Thai bank account. Payment details are provided on invoice. Sessions will not commence until the required payment is received.

Refund Policy

Cancellations made more than 48 hours before a session will receive a full refund of any advance payment. Cancellations within 48 hours will be offered a rescheduled date; no cash refund will be issued. Ongoing advisory arrangements may be cancelled by either party with 30 days' written notice; no partial-month refunds are provided.

7. Confidentiality

Both parties agree to treat the other's confidential business information as private. We will not disclose your business figures, process details, or engagement content to third parties except as required by law. You agree not to disclose our proprietary methods or internal working materials to third parties without our written consent.

8. Disclaimers

Our services are provided on an "as available" basis. We make no representation that:

• Any particular business outcome will result from using our Deliverables
• Our operational advice is appropriate for your specific tax or regulatory situation
• Templates or process designs will function identically in every business context

You remain solely responsible for decisions made based on information or guidance provided in our sessions.

9. Limitation of Liability

To the fullest extent permitted under Thai law, Riverlume's total liability for any claim arising from an Engagement shall not exceed the total fees paid by the Client for that Engagement. We shall not be liable for indirect, consequential, or incidental damages, including loss of profit, loss of data, or business interruption, regardless of how they arose.

10. Indemnification

You agree to indemnify and hold Riverlume harmless from any claims, damages, or costs (including legal fees) arising from your misuse of our services or Deliverables, your breach of this Agreement, or your representation of our services as regulated advice to third parties.

11. Termination

Either party may terminate an Engagement with written notice. For the ongoing advisory arrangement, 30 days' notice is required. Upon termination, all outstanding fees become immediately due. Deliverables produced up to the termination date belong to the Client under the licence described in Section 5, subject to full payment. Sections 5, 7, 9, and 10 survive termination.

12. Governing Law and Disputes

This Agreement is governed by the laws of the Kingdom of Thailand. In the event of a dispute, the parties agree to attempt informal resolution within 30 days of written notice of the dispute. If unresolved, disputes shall be submitted to the jurisdiction of the competent courts of Bangkok, Thailand.

13. General Provisions

• Entire agreement: This Agreement, together with any engagement confirmation email, constitutes the entire agreement between the parties.
• Severability: If any provision is found unenforceable, the remaining provisions continue in full effect.
• Waiver: Failure to enforce any provision does not constitute a waiver of future enforcement.
• Notices: Written notices may be sent by email to the address provided at engagement confirmation.

14. Changes to These Terms

We may update these Terms from time to time. Updated terms will be posted on our website with a revised date. For ongoing advisory clients, material changes will be communicated by email with 30 days' notice before they take effect.
